Groovon Terms of Service

1. Who We Are

Groovon International Inc. ("Groovon," "we," "us," or "our") operates a digital platform that enables fans, artists, venues, and event organizers to connect, share content, communicate, and transact.

Groovon is a technology platform. We are not a bank, financial institution, escrow agent, event organizer, venue operator, or money transmitter.

2. Scope of Services

Groovon enables users to:

Discover live music events through our event agenda
Communicate via built-in community and private messaging features
Support an artist with a tip during a live show (on premise and during show only), or buy a badge to support an artist on their profile page outside of live shows
Purchase artist experiences and services (e.g., song requests, photo opportunities, soundcheck access, meet & greet)

Unless explicitly stated otherwise, Groovon acts solely as a technology intermediary and does not act as the seller.

3. Live Event Agenda & Information Disclaimer

Groovon provides an event agenda that aggregates information from publicly available sources, ticketing platform APIs, and user-generated submissions.

While we aim to provide accurate information, we:

Do not guarantee the accuracy, completeness, or timeliness of event listings
Are not responsible for changes in date, time, location, performers, cancellations, or availability
Are not liable for reliance on event information displayed on the platform

Users should verify event details directly with the venue, organizer, or official ticket seller.

4. Payment Processing

All payments on Groovon are processed by our payments partner Stripe, a licensed Third-Party Payment Facilitator and its regulated financial institution partners.

Groovon does not directly receive or hold customer funds.

Wallet balances, payment flow, and settlement are managed within payments partner's infrastructure.

Use of Wallet or payout functionality requires completion of identity verification (KYC/KYB) as required by our payments partner and its Banking Partners.

Users engaging in transactions may be subject to our Payments Partner's terms and policies, available at https://www.stripe.com/legal

Groovon is not responsible for actions, outages, or decisions of our payments partner or its Financial Partners.

5. Wallets and Conditional Settlement

Artists and venues may receive payments into accounts or balances via the Payments partner.

Payout timing, settlement conditions, and verification requirements are governed by the payments partner's policies and compliance obligations.

For ticket purchases:

Settlement to the artist or venue may occur after the event date.
If an event is cancelled, Groovon will refund the net ticket amount paid by the fan minus applicable payment fees, service fees or platform fees.
Payment fees, Service fees or platform fees paid at the time of purchase are non-refundable unless required by applicable law.

All fees are disclosed prior to purchase.

6. Fees

Groovon may charge:

A payment processing fee, or service fee on fan transactions
A platform service fee from merchants

Applicable fees are disclosed before transaction confirmation.

7. Merchant of Record

Unless explicitly stated otherwise:

The artist, venue, or event organizer is the seller of goods, services, or tickets and the Merchant of Record.
They are responsible for fulfillment, tax compliance, and applicable consumer rights.

Groovon acts solely as a technology intermediary.

For badge purchases specifically, Groovon is the seller of the badge as a digital item; the associated support amount is remitted to the artist or venue via our payments partner.

8. Refund Policy

Refund eligibility depends on the type of transaction.

The following are generally non-refundable:

Voluntary tips given to an artist during a live show (LiveConnect)
Badges purchased on an artist's profile (see Digital Content Withdrawal Right below)
Purchases fulfilled at time of performance.
Food & beverage purchases fulfilled at the venue.
Any product or service delivered immediately upon payment.

Ticket refunds are processed only in the event of cancellation and as described in Section 5.

Nothing in this section limits mandatory consumer protection rights under applicable law.

Digital Content Withdrawal Right (EU/UK Consumers)

This section applies to badge purchases only. If you are a consumer located in the EU, EEA, or UK, you generally have a 14-day right to withdraw from a purchase of digital content or digital services. Because badges are delivered to your account immediately upon purchase, you will be asked to expressly consent, before completing your purchase, to immediate delivery and to acknowledge that you lose your right of withdrawal once the badge is delivered. If you do not provide this consent, the purchase cannot be completed. Live-show tips are voluntary payments, not a purchase of digital content, and are not subject to this withdrawal right. Nothing in this clause affects any other mandatory consumer right under applicable law.

9. Social Platform & User Conduct

Groovon includes community and private messaging features that allow users to communicate and share content.

Users are solely responsible for their conduct and content. Groovon does not endorse or guarantee the accuracy of user-generated content and is not responsible for interactions between users.

Prohibited Conduct

Users may not:

Engage in harassment, bullying, threats, or intimidation
Post sexist, racist, discriminatory, or hateful content
Share unlawful, infringing, or fraudulent material
Post, upload, share, request, distribute, facilitate access to, or otherwise engage with Child Sexual Abuse Material (CSAM) or other content that sexually exploits, abuses, or endangers minors
Engage in grooming, sexual solicitation, or sexual exploitation of minors
Promote violence or illegal activity
Circumvent platform safeguards

CSAM and child sexual exploitation are strictly prohibited. Groovon may immediately remove or restrict such content, suspend or terminate associated accounts, and report relevant activity to authorities where required by applicable law.

Groovon operates on a best-efforts moderation basis.

We may remove content, suspend accounts, or ban users at our discretion if they violate these Terms or applicable law.

Groovon is not liable for user behavior or content.

Users are solely responsible for their conduct and content.

10. Prohibited Monetization

Users may not post, upload, sell, offer, or otherwise monetize:

Adult content or services, including content that contains nudity or explicit sexual acts (e.g., subscriber-only nude images, adult audio/video live chat, or any sexually explicit material or service)
Content that infringes any intellectual property or other proprietary rights, including copyright-infringing content (e.g., leaked or unauthorized music albums, recordings, or other protected works)

Groovon operates on a best-efforts moderation basis. We may remove content, suspend accounts, or ban users at our discretion if they violate these Terms or applicable law.

Groovon is not liable for user behavior or content.

11. Artificial Intelligence & Automated Support

Groovon may use automated systems, including AI-based chat tools, to provide support and platform assistance.

AI-generated responses:

May not always be accurate, complete, or up-to-date
Do not constitute legal, financial, or professional advice
Should not be solely relied upon for critical decisions

Users remain responsible for verifying important information.

12. User Accounts & Eligibility

Users must:

Provide accurate information
Be at least 18 years old or the legal age for driving in their jurisdiction
Maintain account security

Groovon may suspend or terminate accounts for violations.

13. Intellectual Property

User Content Ownership

Users retain ownership of any content they submit, upload, or share on the platform ("User Content").

License to Groovon

By submitting User Content, users grant Groovon a worldwide, non-exclusive, royalty-free, transferable, sublicensable, and irrevocable license to:

use, host, store, reproduce, modify, adapt, publish, translate, distribute, and display such content
create derivative works from such content
use such content for operating, improving, promoting, and commercializing the platform
make such content available to partners, service providers, and through APIs

Artist & Venue Sublicense (Live Story Contribution)

By posting content related to a live performance, event, artist, or venue, users acknowledge and agree that such content contributes to the artist's and event's live story on Groovon.

Users agree that Groovon may grant a sublicense of such content to the relevant artist, venue, or event organizer for organic and promotional purposes only, including:

reposting or sharing on social media
displaying on artist or event pages
audience engagement and community storytelling

Such sublicense does not include the right for the receiving party to use the content for paid advertising, direct commercial exploitation, or resale, unless the user provides separate explicit consent.

Groovon does not guarantee attribution, compensation, or control over how such content is used within these permitted promotional contexts.

User Representations

Users represent and warrant that:

they own or have the necessary rights to share the content
they have obtained any required permissions from individuals appearing in the content
the content does not infringe third-party rights, including intellectual property and privacy rights

Platform Data Ownership

Groovon retains all rights, title, and interest in:

aggregated and anonymized data derived from platform usage
behavioral, transactional, and analytics data
platform-generated insights, models, and optimizations

Derived & Enhanced Data

Groovon owns any:

enhancements, transformations, or enrichments of User Content
aggregated datasets combining User Content with other data sources
outputs generated through analysis, processing, or AI systems

No Rights to Platform Data

Users do not obtain any rights to Groovon's platform data, analytics, or derived datasets.

14. Limitation of Liability

To the maximum extent permitted by law:

Groovon is not liable for actions of artists, venues, organizers, or other users
Groovon does not guarantee event execution or content quality
Groovon is not liable for inaccuracies in event listings
Groovon is not liable for user interactions
Groovon's aggregate liability shall not exceed the total service fees paid to Groovon in the preceding 6 months

Nothing excludes liability where prohibited by law.

15. Disputes Between Users

Groovon may assist in facilitating communication but is not obligated to resolve disputes between users.

16. Privacy

Use of the platform is subject to our Privacy Policy.

17. Content Moderation and Enforcement

All user-generated content on Groovon — including community replies and topics, direct messages, LiveConnect chat and broadcasts, artist and venue profiles, event listings, and uploaded media — is subject to reporting, and to automated and human moderation. Users, rights holders, and other affected parties may report content that violates this Policy using the "Report Content" function available on the platform. Violations of our Content Policy may result in warnings, temporary content hiding, message blocking, content removal, account restrictions, suspension, or permanent ban, applied through a tiered enforcement ladder.

You will receive a Statement of Reasons for any decision affecting your content and may appeal at /moderation/appeals within 6 months of the decision. Appeals are reviewed by a human moderator within 7 days.

18. Changes to Terms

We may update these Terms from time to time. Continued use constitutes acceptance.

19. Governing Law

These Terms are governed by the laws of Delaware, USA, without prejudice to mandatory consumer protection rights.
